华泰提供的“ 董(监)事及高级职员责任保险”保障及补偿公司的董(监)事或高级职员在履行职务时,因其“不当行为”(包括错误、疏忽、义务违反、不实或误导性陈述、违反职责等)所引起的法律责任而给个人带来的损失。
Our D&O policy covers and indemnifies the legal loss arising out of misconduct including but not limited to errors and omissions, breach of contract, misrepresentation, misstatement or breach of obligation, etc) while the company’s directors and officers are performing their managerial duties and responsibilities.

被保险人除了包括被保险公司过去、现在或未来的董(监)事、高级职员、董事会秘书或其他职员(但仅以该职员为履行其公司管理职责为限),还包括了上述人员的合法配偶、遗产继承人、法定代理人等。
Not only directors, officers, secretary and/or other staff (only restricted to be the one(s) conducting the company’s management function) of the past, present and future could be the named insured(s) in D&O policy
But also their legal spouse, heir(s) and legal agent(s). |
子公司D&O保障

自动承保新成立或收购的子公司。

继续承保条款
Policy renewal condition |
如果公司连续向华泰购买董(监)事及高级职员责任保险,在没有恶意不告知的前提下,本保单不会将管理人员在连续保障期间内应该知悉的诉讼除外。
If the Insured continues to renew D&O policy with Huatai/Ace, this noted policy does not exclude any known lawsuits during any consecutive policy periods, however, subject to Huatai’s D&O reporting policy. | |
